1. Agreement to Terms

By accessing or using the Ship-ify API and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Ship-ify provides a shipping optimization API that helps businesses optimize package packing and reduce shipping costs through 3D bin packing algorithms. Our Services include:

API access for shipping optimization calculations
Dashboard for managing API keys and viewing usage analytics
Pre-configured carrier box templates
Custom box set management
Subscription and billing management

3. Account Registration

To use the Services, you must create an account. You agree to:

Provide accurate and complete registration information
Maintain the security of your account credentials and API keys
Notify us immediately of any unauthorized access to your account
Be responsible for all activities that occur under your account

4. API Usage and Rate Limits

Your use of the API is subject to the rate limits and usage quotas associated with your subscription tier. You agree to:

Not exceed your allocated usage limits without upgrading your subscription
Not attempt to circumvent rate limiting or abuse the API
Not use the API for any unlawful purpose or to facilitate illegal activities
Not reverse engineer, decompile, or attempt to extract the algorithms
Not resell API access without prior written authorization

5. Subscription and Billing

Paid subscriptions are billed in advance on a monthly basis. You agree to:

Provide valid payment information and keep it up to date
Pay all fees associated with your subscription tier
Pay any overage charges if you have enabled pay-per-use billing

Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

Price Changes: We reserve the right to modify pricing with 30 days notice. Continued use after price changes constitutes acceptance.

6. Intellectual Property

The Services, including all algorithms, software, documentation, and content, are owned by Ship-ify and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

You retain ownership of any data you submit to the Services. By using the Services, you grant us a limited license to process your data solely for the purpose of providing the Services.

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. We process API request data only to provide optimization results and do not sell your data to third parties.

8. Service Availability and SLA

We strive to maintain high availability but do not guarantee uninterrupted service. The Services are provided "as is" without warranties of any kind.

For Enterprise customers, service level agreements (SLAs) may be established through separate written agreements.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIP-IFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from your use of the Services shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Ship-ify, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with or without notice. Upon termination:

Your right to use the Services immediately ceases
All API keys associated with your account will be revoked
You remain responsible for any outstanding fees

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Continued use after modifications constitutes acceptance of the updated Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of Canada. Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration, except where prohibited by law.
